BUYING GUIDE: RUSSIAN HELICOPTER :

NB: FOR ALL BUYERS OF RUSSIAN HELICOPTERS

AS AT MAY 2008

Very few brand new and/or factory overhauled MI-17 have been offered for sale. Most significantly, however, new air law chapters have been introduced in Russia this year, and the law requires from now and onwards that end user must be disclosed at the very first stage even to allow primary inspection of aircraft. Apart from the listed helicopters you can get through our company helicopters we can obtain most helicopters from any Design office in Russia new and/or overhauled MI-171/MI-171, we do need an official written request from any end user specifying which aircraft is needed and in what condition/specification. We need that the request is printed on official company letterhead and duly signed/stamped. If the inquiry is not possible directly from an end user, WE CAN make it on your behalf . Without this written request for purchase from any end user we cannot proceed to organize technical inspection and further negotiation with aircraft

Although we mainly deal with the principal buyers we also deal with other brokers. Broker may be new in this field looking for only one deal or established brokers looking for an alternative source for a long term relationship with us.

Principal Buyers:

We will submit prices along with LOI and BCL details for all buyers. Please reply on your Letter Heading with LETTER OF INTENT (LOI) along with BANK COMFORT LETTER (BCL). Our payments terms are FOB or CIF Russia. All sales of helicopters do not include transportation costs to the destination country.

Brokers:

We can comfortably deal with all brokers. All commissions are guaranteed and paid by the relevant Bank to you on the consummation of the Documentary Credit. All commission agreements are in writing are protected and certified by the Bank so you can assure yourself that we cannot interfere in the Bank workings. If your commissions are excessive please do check if the inspectors and your country laws do not clash . All brokers are treated as one entity and commission payment is made to the original and the first introducing broker. All NDNC agreements are honoured.

All brokers must state the level of commissions. Our prices are sent by e-mail along with details of LOI and BCL format from the 2 factories companies we work with. Please send us the LOI on actual BUYER'S Letter Heading and BCL on the Bank Letter Heading. Until these two letters are received by us we cannot proceed. We regret we will not enter into any negotiation correspondence in there absence. It is only on the receipt of these 2 letters we can send you and the SELLER further full sets of all the documentations to start the full process or you come directly to Russia to inspect the helicopters & then proceed. We keep you fully informed of the progress of business and may we remind you that all transactions are kept confidential.

Purchase Procedures for all HELICOPTERS:Simplified

1) Buyer submits Letter of Intent (LOI) and Bank Comfort Letter (BCL)

2) We the Seller issue the FCO. ( Full Corporate Offer).

3) Buyer accepts and agrees the terms and conditions of the FCO by counter signature & companies seal and returns it to the seller.

4) Seller issues draft contract with full banking. Draft Contract shall be signed by
both parties and sent via fax that will be deemed as original and valid.

5) Hard copies of the Contract are issued by us the Seller, signed and exchanged
with the Buyer.

6) Seller and Buyer will lodge the hard copies of the Contract with their
respective banks.

7) The Buyer bank provides Proof of Funds to the seller’s bank. The Proof Funds is the operative or non-operative LC or can pay cash in US$. All funds remitted and helicopters quoted are in US$

8) We the Seller will provide the Proof of Product Bank to Bank. The prime banks only supply the POP after the LC has been established. Some US banks have already implemented it while others are considering it. Please do note that some banks do not offer POP service and it is a lawyer who will do it.

9) Buyer will present pre-advised L/C to be approved by Seller's Bank.

10) Seller will issue 2% Performance Bond to activate the Letter of Credit.

11) Delivery and shipment commence as per Contract

Payment Terms for all commodities:

This would vary with each transaction but at the very least All payments are by way of irrevocable, divisible, confirmed and transferable DOCUMENTARY CREDIT established by a top PRIME BANK for 100% invoice value, payable at sight against shipping documents. FOB and cash basis accepted.
